1. Acceptance of Terms

By accessing and using Staff Pay ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and Staff Pay. We may modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Service

Positioning. Staff Pay serves businesses, households, and individuals. Automate recurring bank payments with the same schedules and Quick Transfers. Payroll, employer payouts, and related business payments are at the core of our product and model; the same platform may be used for other lawful recurring or one-off bank transfers (for example household allowances or support payments), subject to these Terms and applicable law.

Staff Pay is a cloud-based payment and payroll management platform that helps users process payments to beneficiaries, manage beneficiary information, schedule recurring transfers, run Quick Transfers, send gifts or one-off batches where the product supports them, organize multiple companies in one account where available, and handle related tasks. The Service may also include bill payments and bill schedules (for example airtime, mobile data, electricity, cable TV, and other cataloged services), which settle from your Staff Pay wallet after you fund it through approved flows. Optional features can include wallet withdrawals to your own bank account, card or Paystack Direct Debit funding or mandates, auto-charge when low when you enable it and add a verified chargeable method, two-factor authentication (2FA), in-dashboard support tickets and product suggestions, and (where we offer it) an in-app assistant that may use third-party AI to draft replies. The Service is provided primarily through our website; native mobile applications for iOS and/or Android may be offered from time to time as they become available and, when in use, form part of the Service under these Terms.

We may offer a separate public payslip generator on the website for creating payslip-style documents without a full payroll subscription; its use is governed by these Terms together with any on-screen notices specific to that tool.

Staff Pay provides technology and software services; funds are moved through licensed payment partners and financial institutions. We do not hold a banking licence and are not a bank or deposit-taking institution. Bill purchases are fulfilled by third-party bill networks or aggregators; we route instructions and wallet settlement on your behalf and are not the underlying utility, telco, or discos.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts and Identity Verification (KYC)

To use the Service, you must:

  • Be at least 18 years old and have the legal capacity to enter into contracts under Nigerian law
  • Provide accurate, current, and complete information during registration
  • Complete identity verification (KYC) when required by us for compliance with Nigerian law, including the Central Bank of Nigeria (CBN) regulations and anti-money laundering (AML) and counter-terrorism financing (CFT) requirements
  • Submit valid government-issued identification, business registration documents (where applicable), and such other documents as we may reasonably request, including passport-based verification when the product offers an international path
  • Maintain and update your account and KYC information to keep it accurate
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Be responsible for all activities that occur under your account

Account restrictions: We may restrict, suspend, or terminate your access if you fail to complete KYC when required, provide false or misleading information, or if we are legally obligated to do so. We are not liable for any loss or inconvenience arising from such restriction, suspension, or termination.

4. Fees and Payment

4.1 Transaction Fees

We charge a service fee of 1.5% + ₦500 (minimum ₦1,500) on deposits made through the Service. This fee is automatically deducted at the time of deposit, and the net amount is credited to your account. The service fee includes payment processing and any transfer fees we incur when crediting beneficiaries. Outbound payroll, gifts, Quick Transfers, and bill payments generally debit your already-funded wallet balance without charging that same Staff Pay platform fee again on each line item; always review the in-app breakdown before confirming any payment or funding step. Withdrawals to your own bank account are not charged the same deposit platform fee, though partner transfer fees or limits may still apply as shown in the product.

4.2 Payment Processing

All payments are processed through secure third-party payment processors. You are responsible for ensuring sufficient funds are available for transactions.

Virtual account (NUBAN) for wallet funding. Where we provide a dedicated Nigerian account number through our payment partner, it is for funding your Staff Pay wallet only. The partner may reissue or change that number in rare circumstances (for example compliance or product changes). We process partner webhook events (including Paystack's dedicatedaccount.assign.success and dedicatedaccount.assign.failed) to update what we display, notify you in-app, and send email when we can match your account and mail delivery succeeds. We are not responsible for delays or failures caused by the partner, misconfigured webhooks, or transfers sent to outdated numbers. You must use only the current details shown in the Service at the time of transfer. Staff Pay does not automatically refund funds that never reached us; contact support with your bank receipt and we will help coordinate with the partner where possible.

4.3 Fee Changes

We reserve the right to change our fees at any time. We will provide reasonable notice of material fee changes. Your continued use of the Service after such notice constitutes acceptance of the new fees.

4.4 Refunds

Transaction fees are non-refundable. In case of payment errors, we will work with you to resolve the issue in accordance with our refund policy. Refunds are subject to verification and may be declined where we have reasonable grounds to suspect fraud or abuse.

4.5 Bill payments and schedules

When you use Bills or bill schedules, you authorize us to debit your Staff Pay wallet for the amounts you confirm (including multi-line schedules where supported). You are responsible for entering accurate customer identifiers (meter numbers, smart card IDs, phone numbers, decoder or account numbers, and similar fields) and for having lawful authority to pay those accounts. Bill networks, aggregators, or utilities may reject, delay, partially complete, or price purchases differently than shown in preview; we do not guarantee availability of every biller or SKU. Failed or stuck runs may expose retry or support flows in the app; use them in good faith.

4.6 Cards, Direct Debit mandates, and auto-charge

If you add a card or complete Paystack Direct Debit linking, sensitive card or bank authentication data is handled by Paystack under their terms and privacy policy. We store references (for example tokens or mandate identifiers) needed to initiate charges you authorize, such as wallet top-ups or auto-charge when low. Enabling auto-charge constitutes standing instruction to attempt those charges when the Service determines your balance may not cover upcoming automated debits you have configured. You can turn the feature off and remove methods from Funds subject to any in-flight obligations.

4.7 Refer & Earn program

Staff Pay may offer a referral program that lets you invite new business users with a personal link or code. When someone signs up using your valid referral and completes qualifying wallet deposits (currently a minimum of ₦10,000 each, excluding card-verification-only deposits), you may receive a reward equal to 50% of the platform deposit fee we charged on each of their first three such deposits. Rewards are credited to your Staff Pay wallet after each referred deposit settles. Each referred user can generate at most three referral rewards. We may change, pause, or end the program, adjust eligibility, or withhold or reverse rewards where we reasonably suspect fraud, self-referral, duplicate accounts, or abuse. Referral rewards are promotional credits, not wages or guaranteed income, and have no cash value outside the Service.

5. User Responsibilities and Prohibited Uses

You agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms and Nigerian law
  • Comply with all applicable laws, including tax, employment, AML/CFT, and CBN regulations
  • Not use the Service for money laundering, terrorism financing, fraud, or any unlawful activity
  • Ensure that funds used in the Service are derived from legitimate sources
  • Not use the Service to transmit any harmful, illegal, or unauthorized content
  • Not attempt to gain unauthorized access to the Service or its systems
  • Not interfere with or disrupt the Service or servers connected to the Service
  • Not use automated systems to access the Service without our permission
  • Maintain accurate records and comply with tax and employment law obligations
  • Ensure bill payment instructions relate to lawful personal or business expenses you are entitled to pay, and not to launder money, obscure origins of funds, or abuse promotions on third-party networks
  • Not misuse support tickets, suggestions, or any in-app assistant to harass staff, generate harmful content, or attempt to bypass security or compliance controls

Employer and household data: Where you upload beneficiary, staff, or dependent information (including for invites, payroll, gifts, or bills tied to a company), you represent that you have a lawful basis and any required consent under employment or data protection law before you submit that data.

Compliance and reporting: We may monitor transactions and report suspicious activity to the Nigeria Financial Intelligence Unit (NFIU) or other authorities as required by law. We may freeze, suspend, or terminate accounts and retain funds where we have reasonable grounds to suspect unlawful activity. You waive any claim against us for such actions taken in good faith for compliance purposes.

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Staff Pay and is protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

You are responsible for ensuring that you have obtained all necessary consents from your employees and beneficiaries before uploading their information to the Service.

Communications and optional AI features. If you use in-dashboard support, suggestions, contact forms, or an AI-assisted chat experience, your messages, attachments you choose to send, and related metadata may be processed to operate the feature, improve quality, and meet legal obligations, as further described in the Privacy Policy. Do not paste payment card PINs, full card numbers, internet banking passwords, or other highly sensitive authentication secrets into chat; use official flows in the app instead.

8. Disclaimers and Limitations of Liability

8.1 Service Availability

The Service is provided "as is" and "as available." We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for delays, failures, or errors caused by third parties (including payment processors, banks, and telecommunications providers), force majeure events, or circumstances beyond our reasonable control.

8.2 Financial Services Disclaimer

Staff Pay is a technology platform that facilitates payroll management, wallet movements, and related payment automation. Payment processing, bank transfers, and bill fulfillment are carried out by licensed or regulated third-party providers and networks. We do not guarantee the success, speed, or outcome of any payment, transfer, or bill purchase. You are solely responsible for ensuring the accuracy of beneficiary details, bill account identifiers, and amounts, and for any loss arising from errors in instructions you submit. We are not liable for delays or failures caused by banks, payment processors, bill aggregators, utilities or telcos, or regulatory actions.

8.3 Limitation of Liability

To the maximum extent permitted by Nigerian law, Staff Pay and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, or goodwill. Our total aggregate liability for any claim shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

8.4 No Warranties

We make no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, government actions, sanctions, embargoes, strikes, power failures, or technical failures of third-party systems.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any breach of these Terms or for any other reason we deem necessary.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless Staff Pay and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any content or data you submit or transmit through the Service

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria. You irrevocably submit to the jurisdiction of such courts and waive any objection to venue.

Nothing in these Terms affects your statutory rights under Nigerian consumer protection law where applicable.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on this page and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.
