By accessing and using Staff Pay ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and Staff Pay. We may modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Service

Staff Pay is a cloud-based payroll management platform that enables businesses to process employee payments, manage staff information, and handle payroll-related tasks.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts

To use the Service, you must:

  • Be at least 18 years old and have the legal capacity to enter into contracts
  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Be responsible for all activities that occur under your account

4. Fees and Payment

4.1 Transaction Fees

We charge a transaction fee of 1% per payment processed through the Service. This fee is automatically deducted at the time of transaction.

4.2 Payment Processing

All payments are processed through secure third-party payment processors. You are responsible for ensuring sufficient funds are available for transactions.

4.3 Refunds

Transaction fees are non-refundable. In case of payment errors, we will work with you to resolve the issue in accordance with our refund policy.

5. User Responsibilities

You agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms
  • Comply with all applicable laws and regulations
  • Not use the Service to transmit any harmful, illegal, or unauthorized content
  • Not attempt to gain unauthorized access to the Service or its systems
  • Not interfere with or disrupt the Service or servers connected to the Service
  • Not use automated systems to access the Service without our permission
  • Maintain accurate records and comply with tax and employment law obligations

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Staff Pay and is protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

You are responsible for ensuring that you have obtained all necessary consents from your employees and staff members before uploading their information to the Service.

8. Disclaimers and Limitations

8.1 Service Availability

The Service is provided "as is" and "as available." We do not guarantee that the Service will be uninterrupted, error-free, or completely secure.

8.2 Limitation of Liability

To the maximum extent permitted by law, Staff Pay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

8.3 No Warranties

We make no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any breach of these Terms or for any other reason we deem necessary.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless Staff Pay and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any content or data you submit or transmit through the Service

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Nigeria.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on this page and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.
