1. Acceptance of Terms

By accessing and using Staff Pay ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and Staff Pay. We may modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Service

Staff Pay is a cloud-based payroll management platform that enables businesses to process employee payments, manage beneficiary information, and handle payroll-related tasks. Staff Pay provides technology and software services; funds are moved through licensed payment partners and financial institutions. We do not hold a banking licence and are not a bank or deposit-taking institution.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts and Identity Verification (KYC)

To use the Service, you must:

  • Be at least 18 years old and have the legal capacity to enter into contracts under Nigerian law
  • Provide accurate, current, and complete information during registration
  • Complete identity verification (KYC) when required by us for compliance with Nigerian law, including the Central Bank of Nigeria (CBN) regulations and anti-money laundering (AML) and counter-terrorism financing (CFT) requirements
  • Submit valid government-issued identification, business registration documents (where applicable), and such other documents as we may reasonably request
  • Maintain and update your account and KYC information to keep it accurate
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Be responsible for all activities that occur under your account

Account restrictions: We may restrict, suspend, or terminate your access if you fail to complete KYC when required, provide false or misleading information, or if we are legally obligated to do so. We are not liable for any loss or inconvenience arising from such restriction, suspension, or termination.

4. Fees and Payment

4.1 Transaction Fees

We charge a service fee of 1.5% + ₦500 flat (minimum ₦1,500) on deposits made through the Service. This fee is automatically deducted at the time of deposit, and the net amount is credited to your account. The service fee includes payment processing and any transfer fees we incur when crediting beneficiaries. No fees are charged on payroll or withdrawals.

4.2 Payment Processing

All payments are processed through secure third-party payment processors. You are responsible for ensuring sufficient funds are available for transactions.

4.3 Fee Changes

We reserve the right to change our fees at any time. We will provide reasonable notice of material fee changes. Your continued use of the Service after such notice constitutes acceptance of the new fees.

4.4 Refunds

Transaction fees are non-refundable. In case of payment errors, we will work with you to resolve the issue in accordance with our refund policy. Refunds are subject to verification and may be declined where we have reasonable grounds to suspect fraud or abuse.

5. User Responsibilities and Prohibited Uses

You agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms and Nigerian law
  • Comply with all applicable laws, including tax, employment, AML/CFT, and CBN regulations
  • Not use the Service for money laundering, terrorism financing, fraud, or any unlawful activity
  • Ensure that funds used in the Service are derived from legitimate sources
  • Not use the Service to transmit any harmful, illegal, or unauthorized content
  • Not attempt to gain unauthorized access to the Service or its systems
  • Not interfere with or disrupt the Service or servers connected to the Service
  • Not use automated systems to access the Service without our permission
  • Maintain accurate records and comply with tax and employment law obligations

Compliance and reporting: We may monitor transactions and report suspicious activity to the Nigeria Financial Intelligence Unit (NFIU) or other authorities as required by law. We may freeze, suspend, or terminate accounts and retain funds where we have reasonable grounds to suspect unlawful activity. You waive any claim against us for such actions taken in good faith for compliance purposes.

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Staff Pay and is protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

You are responsible for ensuring that you have obtained all necessary consents from your employees and beneficiaries before uploading their information to the Service.

8. Disclaimers and Limitations of Liability

8.1 Service Availability

The Service is provided "as is" and "as available." We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for delays, failures, or errors caused by third parties (including payment processors, banks, and telecommunications providers), force majeure events, or circumstances beyond our reasonable control.

8.2 Financial Services Disclaimer

Staff Pay is a technology platform that facilitates payroll management. Payment processing and fund transfers are carried out by licensed third-party providers. We do not guarantee the success, speed, or outcome of any payment or transfer. You are solely responsible for ensuring the accuracy of beneficiary details and for any loss arising from errors in payment instructions. We are not liable for delays or failures caused by banks, payment processors, or regulatory actions.

8.3 Limitation of Liability

To the maximum extent permitted by Nigerian law, Staff Pay and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, or goodwill. Our total aggregate liability for any claim shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

8.4 No Warranties

We make no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, government actions, sanctions, embargoes, strikes, power failures, or technical failures of third-party systems.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any breach of these Terms or for any other reason we deem necessary.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless Staff Pay and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any content or data you submit or transmit through the Service

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria. You irrevocably submit to the jurisdiction of such courts and waive any objection to venue.

Nothing in these Terms affects your statutory rights under Nigerian consumer protection law where applicable.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on this page and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.
